"Woman in the Garden"

§ 1 Name of the association, registration, seat


The association bears the name: Obst- und Gartenbauverein Langgöns". The association is to be entered in the register of associations in Giessen. The association's headquarters are in Langgöns.


§ 2 Purpose and goals of the association


The association strives to promote ecologically oriented fruit, vegetable and gardening, the maintenance of kitchen gardens and ornamental gardens, nature conservation and landscape management. It pursues exclusively and directly charitable purposes within the meaning of the "Tax-privileged purposes" section of the tax code. The association works selflessly. It does not primarily pursue its own economic purposes.

The purpose of the statute is realized in particular by supporting all measures in the field of fruit, vegetable and garden cultivation, the maintenance of kitchen and ornamental gardens, mainly from the point of view of nature conservation, environmental protection and landscape management, as well as through the creation and Maintenance of a meadow orchard, which is also accessible to the interested public free of charge for teaching and training purposes.


§ 3 Membership


Any natural person who has reached the age of 14 or any legal person can become a member of the association, regardless of whether and how they are involved in fruit and horticulture.

A written application to the Executive Board or a member of the Executive Board is sufficient to acquire membership. The Board of Directors decides on admission. Membership ends, except through death, resignation or expulsion (see § 7). Resignation is possible at any time by written declaration to the Board of Directors.

The resignation becomes effective at the end of the year in which the declaration was received by the board or a member of the board. Resigned members have no claims against the association's assets.


§ 4 Board of Directors


Current business is managed by the Management Board. The board of directors is required to work together with the district association for the promotion of horticulture, garden and landscape maintenance and the responsible gardening consultant of the office for agriculture in the sense of promoting the purpose of the association. The board of directors works on a voluntary basis. He receives no remuneration for his work. The board consists of the 1st chairman, the 2nd chairman as deputy, the secretary, the computer, the specialist and two assessors. Depending on the requirements, further assessors, up to a maximum of seven, can be elected. The Executive Board decides on the necessity.

Representation in and out of court is provided by the 1st and 2nd chairmen, the secretary and the computer. Two of these board members each represent jointly.

The board has a quorum if more than half of the elected members are present.

The resolutions of the Board of Directors are passed with a simple majority. In the event of a tie, the vote of the 1st chairman decides. The Board of Directors is elected for a period of three years. Re-election is permitted.

After the end of the electoral period, the Executive Board remains in office until a regular new election is held.

The board and the assessors are openly elected by the general meeting with a majority of votes. If there are several candidates for an office, the election must be secret. However, an open vote can also be taken in this case if all applicants agree.

The Board of Directors must convene a general meeting if at least 1/10 of the members request it in writing.


§ 5 General Assembly


The Board of Directors is accountable to the General Assembly (Annual General Meeting). He has to submit an activity and accountability report to the latter. The board of directors has to convene at least one general meeting (annual general meeting) every year.

Members' meetings are to be published by the board of directors, stating the time, place and agenda, at least two weeks before the meeting in the bulletin of the Langgöns municipality. External members must be invited in writing.

Resolutions of the general meeting are passed with a simple majority of votes of the members present.

Minutes are to be kept of the board meetings and the general assembly. The minutes of the board meetings are to be signed by the 1st or 2nd chairman and the secretary, the minutes of the general meetings are to be signed by the chairman and the secretary.


§ 6 Contribution


Each member has to pay an annual fee, the amount of which is determined by the general assembly.

The contribution is due in advance at the beginning of the calendar year.

The contribution is intended to enable the association to carry out its statutory tasks. The fee is the same for all members.


§ 7 Exclusion


Members who grossly violate the interests of the association can be excluded by board resolution. The same applies to members who are in arrears with their contribution and have not paid their contribution by the end of the current year despite being asked to do so twice.


§ 8 Association assets


The association's funds may only be used for statutory purposes. The members of the association do not receive any grants from the funds of the association. No person may be favored by expenses that are alien to the purpose of the association or by disproportionately high remuneration.

Expenses incurred by volunteers can be reimbursed. In addition, the proportion determined by the district association for the promotion of fruit growing, gardening and landscape maintenance is paid from the contribution revenue to the district association.

The association's cash register is to be audited annually by two cash auditors to be elected by the annual general meeting.

The cash auditors are elected for a period of two years, with one cash auditor having to be newly elected.


Section 9 Disputes


All disputes that cannot be resolved by the Board of Directors will be submitted to the General Assembly for decision.


§ 10 Amendments to the Articles of Association


Changes to these statutes can only be made by the annual meeting with a 3/4 majority of votes.


§ 11 Dissolution


If the association is dissolved or abolished, or if its previous purpose is lost, the assets of the association go to the Förderverein Diakniestation Langgöns eV, which has to use them exclusively for non-profit, charitable purposes.
